1. Acceptance of Terms

By accessing or using NHL IceShares ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and NHL IceShares.

2. Eligibility

To use the Platform, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Platform under applicable laws
• Complete our identity verification (KYC) process
• Comply with all applicable laws and regulations in your jurisdiction

3. Account Registration and Security

3.1 Account Creation

You must create an account to access certain features of the Platform. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Enabling two-factor authentication (2FA) when available

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms, suspicious activity, or as required by law.

4. Platform Services

4.1 Share Trading

The Platform facilitates the purchase, sale, and trading of tokenized NHL advertising shares. These shares represent fractional ownership of digital advertising assets and are powered by Ripple (XRP) blockchain technology.

4.2 Wallet Services

We provide integrated wallet services for managing your XRP and share holdings. You are responsible for maintaining the security of your wallet and private keys.

4.3 Marketplace

Our marketplace allows you to buy shares early in the season and sell during peak demand, retaining 80% of profits as outlined in our commission structure.

5. Fees and Payments

5.1 Transaction Fees

We charge the following fees:

• Platform commission: 20% of profit on share sales
• Blockchain transaction fees (gas fees) as applicable
• Withdrawal fees as specified in your account settings

5.2 Payment Methods

All transactions are conducted in XRP (Ripple). You are responsible for obtaining XRP through approved exchanges and transferring it to your Platform wallet.

5.3 Fee Changes

We reserve the right to modify our fee structure with 30 days' notice. Continued use of the Platform after fee changes constitutes acceptance of the new fees.

6. Trading Rules and Restrictions

You agree NOT to:

• Engage in market manipulation or fraudulent trading practices
• Use automated trading bots without prior authorization
• Attempt to manipulate share prices through coordinated actions
• Engage in wash trading or other deceptive practices
• Use the Platform for money laundering or illegal activities
• Create multiple accounts to circumvent trading limits

7. Intellectual Property

7.1 Platform Content

All content on the Platform, including text, graphics, logos, images, and software, is the property of NHL IceShares or its licensors and is protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes in accordance with these Terms.

7.3 Restrictions

You may not:

• Copy, modify, or distribute Platform content without permission
• Reverse engineer or decompile any Platform software
• Remove or alter any copyright or proprietary notices
• Use our trademarks or branding without authorization

8. Risk Disclosure

Specific risks include:

• Market volatility and price fluctuations
• Liquidity risk (inability to sell shares quickly)
• Blockchain and technology risks
• Regulatory and legal uncertainties
• Cybersecurity threats
• Loss of private keys or wallet access

9. Disclaimers and Limitations of Liability

9.1 No Investment Advice

The Platform provides a marketplace for trading shares but does not provide investment, financial, legal, or tax advice. You should consult with qualified professionals before making investment decisions.

9.2 Platform Availability

We do not guarantee uninterrupted or error-free operation of the Platform. We may suspend or modify services for maintenance, updates, or other reasons without liability.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NHL ICESHARES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM.

10. Indemnification

You agree to indemnify, defend, and hold harmless NHL IceShares and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to conflict of law principles.
